These are the Official Rules/Terms and Conditions (“Official Rules”) for the NYC Event Ticket Giveaway (sometimes referred to herein as the “Giveaway” or “Ticket Giveaway” or the “NYC Promotion” or the “Promotion”) for our rabbit community in connection with our exclusive New York event on 23rd April 2024 (the “NYC Event”). These Official Rules should be read in conjunction with any Promotion-specific rules or instructions published, displayed, or posted on any of our social media platforms or channels on which this Promotion is announced, including the rabbit community Discord channel, the rabbit X account, and the rabbit Instagram account. These “Official Rules” shall include all such Promotion-specific rules and instructions.
The “Sponsor” is rabbit inc., 1626 Montana Avenue, Suite 162, Santa Monica, California 90403.
The NYC Promotion is in no way sponsored, endorsed, or administered by, or associated with, Discord, Instagram, X, or any other social media company or platform. By entering any Promotion for which we are the Sponsor that may be announced on any of our social media channels or platforms, you are accepting and agreeing to these Official Rules, and you are agreeing to release Discord, X, Instagram, and any other social media channel or platform from any and all claims that arise out of or relate to the Promotions.
Eligibility: Over 18 and r1 Purchaser This Giveaway is open exclusively to legal residents of the mainland United States who are at least 18 years old at the time of entry (an “Entrant”). We do not knowingly accept entries from minors, and, by entering to win this NYC Promotion (an “Entry”), you represent that you are at least 18 years of age. We reserve the right to disqualify any Entry immediately, in our sole discretion, for any violation of these Official Rules, including if we learn that an Entrant is under the age of 18. Employees of rabbit inc., its affiliates, and their immediate family members are ineligible to participate in or to win this Promotion.
To participate in the Ticket Giveaway, Entrants must have pre-ordered the r1 device for purchase by the date and time the Giveaway commences, and the Entrant additionally must follow the instructions provided for this Giveaway and respond as instructed on the Discord channel, rabbit’s Instagram account, rabbit’s X account, or on any other rabbit social media channel or account. Only one Entry per individual is eligible. We reserve the right to later open up this Giveaway to individuals who have not yet pre-ordered the r1 device, and, if we decide to do so, we will make an announcement on the same social media platforms and channels.
This Promotion is void where prohibited by law. All applicable federal, state, and local laws apply.
Entry Requirements, Information, and Restrictions: Entrants may be asked for an eligible e-mail address for purposes of communicating with the Entrant as to status as a winner or for other reasons. Entries that violate any of the Entry requirements will be deemed ineligible to be included in the Promotion, and the Entry will be disqualified at the Sponsor’s sole discretion. The Sponsor reserves the right to disqualify, in its sole and absolute discretion, any Entry deemed inappropriate or that does not comply with rabbit’s Terms of Service (found on its website at https://rabbit.tech) or with the Official Rules. All requested information on any Promotion-specific announcement, instructions, post, or page set forth on any social media platform or channel, including in the rabbit community Discord channel, must be submitted or completed to enter and to be eligible to win.
Except as otherwise stated in the Official Rules, including in the Promotion-specific rules set forth on the rabbit community Discord channel or in any other rabbit social media platform or channel where rabbit posts such Promotion-specific rules, personal information collected in connection with the Promotion will be used in accordance with the Privacy Policy found on rabbit’s website at https://rabbit.tech and with the consent given by the Entrant at the time of entry. By submitting any such information, you agree to be bound by our Terms of Service and Privacy Policy. If you do not agree, you should not submit any information to us. Subject to rabbit’s Privacy Policy, any communication or information transmitted to Sponsor in connection with any Entry will be treated as non-confidential and non-proprietary, unless otherwise expressly agreed by Sponsor.
Entries become the exclusive property of the Sponsor and will not be returned or acknowledged.
Proof of submission is not considered proof of delivery to or receipt of such entry. Sponsor shall have no liability for any Entry that is lost, intercepted, destroyed, or not received by the Sponsor.
If Entrant is using his or her mobile device (if permitted by the Promotion) to enter the Promotion, charges, including message and data rates, may apply. Entrants should consult their respective wireless service providers regarding pricing plans for further information about message and data rates or other charges.
Promotion Entry Period: The “Promotion Entry Period”for the Giveaway will commence and conclude on the dates and times announced on the rabbit community Discord channel, rabbit Instagram account, rabbit X account, or other rabbit social media platform, account, or channel that rabbit makes such announcement.
Entries submitted outside of the Promotion Entry Period will be deemed ineligible for the Promotion. Sponsor’s computer is the official time-keeping device for the Promotion and determines the commencement and conclusion of Promotion Entry Period, as well as the order of receipt of Entries.
Selection Process for Ticket Giveaway Winners: Winners will be selected by the criteria as set forth herein and as additionally specified in the Promotion announcement on the rabbit community Discord channel, rabbit Instagram account, X account, or other rabbit social media account, platform, or channel. .Subject to eligibility verifications, the first three hundred (300) individuals who respond as required by the Promotion-specific instructions and rules (and who have pre-ordered at least one r1 device prior to the commencement of the Giveaway, unless rabbit has decided to suspend such eligibility requirement) will be winners. The time on the Sponsor’s computers will determine the order of receipt of all Entries. The winners will be notified within a reasonable time after the end of the Promotion Entry Period. The winner will be notified via e-mail address provided by the Entrant in connection with the Promotion and/or by messaging through the social media account, platform, or channel through which Entrant entered the Promotion.
Prizes Generally; Odds: The prizes awarded to the eligible winners are not transferable. There will be 300 winners for the Ticket Giveaway. The odds of winning the depend upon the number of people who follow rabbit on its various social media accounts, channels, and platforms, as well as how fast people respond to the Promotion announcement.
Prizes for Ticket Giveaway: The Giveaway prizes consist of tickets to the exclusive NYC Event. The value of the tickets cannot be determined and is priceless and not subject to valuation.
Prize Acceptance Conditions: The prize winners shall be solely responsible for any required or applicable federal, state, and/or local taxes and the reporting consequences thereof, and for any other fees or costs associated with the applicable prizes. Sponsor may request from a winner, and the winner must provide to Sponsor, valid identification and a valid taxpayer identification number or social security number before a prize is awarded. The potential prize winners may be required to execute a Prize Acceptance Form (“Prize Claim Documents”), including certain releases, licenses, and other forms as reasonably required by the Sponsor. If a winner fails or refuses to sign and return the Prize Claim Documents within at least seven (7) days of prize notification (or a shorter time if required by exigencies or other circumstances), the winner may be disqualified and an alternate winner may be selected. Noncompliance with anything within the Official Rules, including, without limitation, the timely providing of an e-mail address when requested, not complying with the 7-day time period within which to return Prize Claim Documents (if requested), the timely completion and execution of any other required forms and documentation, or the noncompliance of any applicable Promotion-specific rule, may result in disqualification and, at Sponsor’s sole discretion, an alternate potential winner being selected by Sponsor. Prizes will be fulfilled within a reasonable time prior to the NYC Event after winner validation. Sponsor shall have no liability for any winner notification that is lost, intercepted, or not received by a potential winner for any reasons whatsoever, including, without limitation, due to your security settings or the provision to us of your incorrect contact information. If any potential winner does not respond within the time required by Sponsor, or if any winner notification is returned as unclaimed or undeliverable to a potential winner, such potential winner will forfeit their prize and an alternate winner may be selected based on the selection criteria for determining the winner of the Promotion. If any potential winner is found to be ineligible or if they have not complied with these Official Rules or if they have declined the prize for any reason, such potential winner will be disqualified. and the prize may be awarded to an alternate winner based on the Promotion’s winner selection criteria. Any winner later determined to be ineligible may be required to return their prize. Sponsor reserves the right, within its sole and absolute discretion, to withhold a prize for any breach of the Official Rules. No substitution of any prizes for cash or other goods or services is permitted, except that Sponsor reserves the right to provide substitute prizes of approximately equal value, for those prizes that are subject to valuation.
Prizes Are Non-Transferable: If you win tickets to the NYC Event pursuant to our Ticket Giveaway, and are unable to attend, we ask that you promptly return the tickets so that we can award them to another individual pursuant to the applicable criteria. You may not give or transfer your ticket to any other individual.
Representations and Warranties/Indemnification: Each Entrant who enters the Promotion represents and warrants as follows: (i) the Entry does not contain any computer virus, is otherwise uncorrupted, is wholly original with the Entrant, and as of the date of submission, is not the subject of any actual or threatened litigation or claim; and (ii) the Entry does not and will not violate or infringe upon the intellectual property rights or other rights of any other person or entity; (iii) the Entry does not and will not violate any applicable laws, and is not and will not be defamatory or libelous.
Each Entrant hereby agrees to release, hold harmless, and indemnify the Sponsor and its parents, affiliates subsidiaries, and their respective directors, officers, employees, agents, representatives, successors, and assigns in connection with any third-party claims, actions, or proceedings of any kind arising out of or related to the Promotion, including Entrant’s participation in the Promotion, and any and all damages, liabilities, costs and expenses (including reasonable attorneys’ fees) relating thereto.
Publicity Authorization And Release: By participating in the Promotion, in addition to any other grants that may have been given pursuant to any other agreement entered into between Sponsor and any Entrant in or winner of the Promotion, each Entrant irrevocably grants the Sponsor and its designees and their respective successors, assigns, and licensees, the right to use, without review, notification, additional compensation, or further permission, such Entrant’s name, image (if submitted by Entrant), likeness (if submitted by Entrant), biographical information, city, state, Discord, X, Instagram, or other social media handle or profile details, and any submitted materials in any and all media for any purposes, including without limitation, for advertising and promotional purposes, as well as in, on or in connection with rabbit’s website, social media platforms (including on Discord, X, and Instagram), or any other rabbit properties or platforms, or in, on, or in connection with the Promotion or other promotions, and hereby waives any claims to royalties, rights, or remuneration for any such uses or purposes and also hereby releases the Sponsor from any liability with respect thereto. By participating this Promotion, where allowed by law, Entrants agree that the Sponsor may disclose personal information obtained from Entrants in connection with the Promotion to third parties and use such information for marketing, promotional, and other purposes.
Conduct Of Entrant And Decisions By Sponsor: By entering the Promotion, you agree to be bound by the decisions of Sponsor personnel. We reserve the right to disqualify you from the Promotion for any reason, including if you violate any rule of the Official Rules, violate any rules or standards of Discord, Instagram, X, or other applicable social media platform or channel, gain unfair advantage in participating in the Promotion, or obtain winner status using fraudulent means. Unsportsmanlike, disruptive, annoying, harassing, or threatening behavior is prohibited. The Sponsor will interpret these rules and resolve any disputes, conflicting claims, or ambiguities concerning the rules or the Promotions, and the Sponsor’s decisions concerning such disputes shall be final. If the conduct or outcome of the Promotion is affected by human error, any mechanical malfunctions or failures of any kind, intentional interference, or any event beyond the control of the Sponsor, the Sponsor reserves the right to terminate the Promotion, or make such other decisions regarding the outcome as the Sponsor deems appropriate. All decisions will be made by the Sponsor and are final. The Sponsor may waive or limit any of these rules stated in the Official Rules in its sole discretion. The Sponsor disclaims any responsibility or obligation to personally notify you of any change or modification to the conduct of the Promotion. Any attempt by you or any other individual or entity to deliberately circumvent, disrupt, damage, or undermine the legitimate operation of the Promotion or to damage any website or platform is a violation of criminal and civil laws. Should such an attempt be made, the Sponsor reserves the right to seek civil and/or criminal prosecution and/or damages from any such person or entity to the fullest extent permitted by law. In the event a dispute arises regarding a specific individual entitled to receive a prize, Entries will be declared made by the authorized social media account holder or e-mail holder of the individual who responded to the Giveaway, and, likewise, any damage made to a website or social media platform or disruption or undermining of a Promotion will also be the responsibility of the authorized account holder or e-mail holder, as applicable. An “authorized account holder” is defined as the person who is assigned to an account name by Discord, X, Instagram, or other social media platform or channel, as applicable.
General: By participating in the Promotion, Entrant hereby waives all rights to claim punitive, incidental, and consequential damages, attorneys’ fees, or any damages other than actual out-of-pocket costs incurred to enter the Promotion; and agrees to be bound by the Official Rules. Sponsor is not responsible for incomplete, lost, late, damaged, inaccurate, illegible, misdirected, garbled, delayed, or undelivered Entries, or for technical hardware or software malfunctions or other failures of any kind, or lost or unavailable network connections, or failed, incomplete, garbled, or delayed computer transmissions that may limit an individual’s ability to participate in the Promotion. Sponsor reserves the right, in its sole and absolute discretion, to cancel, suspend, or modify the Promotion, or to disqualify any implicated Entrant(s), (and their Entries) if any fraud, virus, actions by Entrants, technical or other error or problem, or any other occurrence corrupts or affects the administration, integrity, security, or proper play of the Promotion, as determined by Sponsor in its sole and absolute discretion. In the event of cancellation, Sponsor reserves the right, at its sole and absolute discretion, to award the prizes in a random drawing from among all eligible, non-suspect Entries received up to the time of the event or action warranting such cancellation. In the event the Promotion is canceled prior to the stated end date, Sponsor will endeavor to post a notice in all social media platforms, channels, and accounts where the Promotion-specific rules and instructions were posted (including on Discord). Sponsor is not responsible for any technical, mechanical, printing, typographical, human, or other error relating to or in connection with the Promotion, including, without limitation, errors that may occur in the administration of the Promotion, the processing of Entries, the announcement of the prizes, or in any Promotion-related materials; or for any liability for damages to any computer system resulting from participating in, or accessing, or downloading information in connection with the Promotion. The invalidity or unenforceability of any provision or rule of the Official Rules shall not affect the validity or enforceability of any other provision or rule. In the event that any provision or rule is determined to be invalid or otherwise unenforceable or illegal, the Official Rules shall otherwise remain in effect and shall be construed in accordance with their terms as if the invalid or illegal provision or rule were not contained herein.
No Warranties: Sponsor makes no warranties covering any of the prizes furnished as part of the Promotion. Any prize, and all materials furnished as part of or in connection with any Promotion, are provided “as is” without warranty of any kind, either express or implied, including without limitation the implied warranties of merchantability or fitness for a particular purpose.
Governing Law/Jurisdiction/Venue: All issues and questions concerning the construction, validity, interpretation, and enforceability of these Official Rules or the rights and obligations of Entrants or Sponsor in connection with the Promotion shall be governed by and construed in accordance with the internal laws of the State of California applicable to contracts made and performed there, without giving effect to any choice of law or conflict of law rules or provisions that would cause the application of any other state’s laws. All actions, proceedings, or litigation relating to or arising out of your participation in any promotion will be instituted and prosecuted solely within the State of California, County of Los Angeles. By participating in the Promotion, you hereby consent to the jurisdiction of the state or federal courts of California in the County of Los Angeles with respect to any action, dispute, or other matter pertaining to or arising out of the Promotion, and agree that such jurisdiction and venue are proper and convenient.
No Implied Endorsement: The names of individuals, groups, companies, products, and services referenced or mentioned in these Official Rules or in any of our social media posts (including on Discord, Instagram, or X), and any corresponding likenesses, trademarks, logos, and images thereof, have been used for identification purposes only and may be the copyrighted properties and trademarks of their respective owners. The mention or reference of any individual, group or company, including Discord, Instagram, or X, or the inclusion of a product or service as the prize, does not imply any association with or endorsement by such individual, group, or company, or the manufacturer or distributor of such product or service and, except as otherwise expressly indicated, no association or endorsement is intended or should be inferred.
Winners’ Names: For the NYC Promotion, the names of the winners (first name / city) may be posted in the rabbit community Discord and/or on other rabbit social media accounts, platforms, or channels when verified and available, and you hereby consent to such public disclosure.
All Rights Reserved - Miscellaneous: rabbit inc. reserves the right to modify, suspend, or cancel the Promotion at any time at its discretion. rabbit inc. also retains all publicity rights associated with the competition. This Promotion is conducted in compliance with applicable laws and regulations, and all personal data will be handled in accordance with these laws and in accordance with Sponsor’s Privacy Policy as found on its website at https://rabbit.tech. All decisions of the Sponsor are final and binding with respect to all matters relating to these Promotions.
Acknowledgment of Official Rules: By entering the Promotion, Entrants acknowledge and agree to be bound by the applicable Official Rules. To have a copy of these Office Rules for your personal use, you may print a copy of these Official Rules.
